Mutual Non-Disclosure Agreement (NDA)
This Mutual Non-Disclosure Agreement ("Agreement") is entered into by and between Your Fractional TPM and our clients ("Parties") for the purpose of preventing the unauthorized disclosure of Confidential Information.
Definition of Confidential Information
"Confidential Information" includes all information or material that has or could have commercial value or other utility in the business in which the Disclosing Party is engaged. Obligations of Receiving Party

Exclusions from Confidential Information
Confidential Information does not include information that: Is publicly known at the time of disclosure or subsequently becomes publicly known through no fault of the Receiving Party; Is discovered or created by the Receiving Party before disclosure by the Disclosing Party; Is learned by the Receiving Party through legitimate means other than from the Disclosing Party or Disclosing Party’s representatives; Is disclosed by the Receiving Party with the Disclosing Party’s prior written approval
